IT IS UNDERSTOOD AND AGREED THAT THE CELLS ARE EXPERIMENTAL IN NATURE AND THAT COMPANY IS NOT MAKING ANY REPRESENTATIONS AND EXTENDS NO WARRANTIES OF ANY NATURE OR KIND, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO THE CELLS, EXCEPT AS OTHERWISE EXPRESSLY SET FORTH ON PLURITYX’S WEBSITE. THE CELLS ARE PROVIDED “AS IS” AND WITHOUT ANY EXPRESSED OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, EXCEPT AS OTHERWISE EXPRESSLY SET FORTH ON PLURITYX’S WEBSITE, OR THAT THE USE OF THE CELLS WILL NOT INFRINGE ANY PATENT, COPYRIGHT, TRADEMARK OR OTHER PROPRIETARY RIGHTS.
LABEL LICENSE
AgeX Therapeutics (“Company”) through agreement with Pluristyx, Inc., has agreed to provide you (“Recipient”) a limited, non-transferable, non-commercial, nonexclusive license to use the research-grade human cells contained herein (the “Cells”) for non-commercial research only. Any commercial use of the Cells is strictly prohibited without the prior written agreement of Company. Without limiting the generality of the foregoing, the Cells shall not be used for any diagnostic or therapeutic purposes in humans nor as a component of a commercial product. Recipient acknowledges, understands, and agrees that any commercial use of the Cells by Recipient requires a license from Company prior to engaging in any commercial use and may require a license from other parties. The recipient shall exercise due care to ensure that all Cells are handled by trained personnel. The Cells will be distributed or released only to co-workers at the Recipient’s facility, working under the Recipient’s direct supervision. Recipient shall not use the Cells in any experiment on or treatment of human subjects. The recipient is solely responsible for the management and use of the Cells supplied hereunder, including without limitation, the storage, transportation, treatment, use, and disposal of the Cells. Recipient agrees to use the Cells in compliance with all current statutes, rules, regulations, and guidelines, and any applicable scientific standards.
PRODUCT RESTRICTIONS
PLURISTYX AND/OR ALL ITS SUBSIDIARIES PRODUCTS MAY CONTAIN HUMAN OR OTHER ANIMAL SOURCE MATERIAL AND SHOULD BE CONSIDERED POTENTIALLY INFECTIOUS. THESE CELLS REQUIRE PROPER ASEPTIC HANDLING TECHNIQUES AND SHOULD BE USED ONLY BY TRAINED LABORATORY PERSONNEL UNDER LABORATORY SAFETY PROCEDURES AT BIO-SAFETY LEVEL 2 OR HIGHER AS RECOMMENDED BY THE CDC FOR ANY HUMAN OR OTHER ANIMAL-SOURCED MATERIAL.
